DONNIE ATKINS, 58, of Atlanta , Georgia , was sentenced November 7, 2008, by United States District Judge Marvin H. Shoob to over 25 years in federal prison on a charge of armed bank robbery.
“This defendant terrorized bank tellers and employees whose only mistake was to show up at the bank to do an honest day’s work,” said United States Attorney David E. Nahmias. “Then he brazenly and recklessly shot at Atlanta Police officers who arrived at the scene to stop the robbery. Fortunately, no officer or bank employee suffered any physical injuries. The sentence imposed on this defendant shows the harsh consequences for anyone who would dare to rob a bank at gunpoint, including significant time in federal prison.”
ATKINS was sentenced to 25 years, 8 months in prison to be followed by 5 years of supervised release. ATKINS pleaded guilty to the charge on August 22, 2008.
According to United States Attorney Nahmias and the information presented in court: On December 13, 2007 , at approximately 9:10 a.m. , ATKINS and an unidentified accomplice robbed the Capitol City Bank at gunpoint, located at 2358 Cascade Road , Atlanta. Employees of the bank noticed the two men as they approached the bank, and thought that the men looked suspicious because they were wearing sweatshirts with hoods covering their heads and faces. An armed security guard attempted to block their entry into the back door of the bank, but the men overpowered him, forced him to the ground, removed his weapon, and handcuffed him. The accomplice stayed with the guard during the robbery, keeping a gun pointed at the guard’s head. ATKINS forced at gunpoint bank employees who were hiding in a break room to come into the lobby and to lie on the floor. One of the employees was on the phone with an emergency dispatch operator when ATKINS came into the break room. ATKINS took more than $15,000 from the teller drawers. ATKINS demanded access to the vault, but the tellers told him that they did not have the keys to the vault. ATKINS began kicking the iron gate to the vault to gain access when his accomplice alerted ATKINS that two police cars had pulled up to the bank. ATKINS and his accomplice ran out of the bank and separated. Atlanta Police Department officers chased ATKINS, and he turned around and fired several shots at them. ATKINS continued to run and, as he attempted to shoot at the pursuing police officers again, he shot himself in the shoulder. At that point, ATKINS was taken into custody. ATKINS had all of the robbery money in a bag that he was carrying. Moreover, ATKINS also had on him a gun that was taken from the armed security guard at a robbery of the same bank on June 22, 2007.
ATKINS’ accomplice has not yet been located, and the FBI’s investigation and search continues. Anyone with information about the accomplice is asked to call the FBI at 404-679-9000.
This case is being investigated by Special Agents of the Federal Bureau of Investigation.

FBI Seeking Information about Threatening Hoax Letters
Georgia is among the 11 states to which letters were sent from Texas.
Today the FBI issued photographs of a threatening hoax letter and its envelope, one of more than 50 such letters received this week by financial institutions in at least 11 states. Many of the letters have contained an unknown powder substance. The letters have all been postmarked from Amarillo, Texas.
The FBI, U.S. Postal Inspection Service, and state and local authorities are investigating each of the incidents. Field tests conducted thus far on the powder have been negative. Additional testing is being conducted at regional laboratories. The FBI and our law enforcement partners are following up on numerous leads.
“Sending a hoax letter is a serious crime, and a drain on law enforcement resources,” said Section Chief Doug Perdue, Investigative and Operations Section, FBI Weapons of Mass Destruction Directorate. “We will continue to work diligently to identify and arrest those responsible.”

The U.S. Postal Inspection Service is offering a reward of up to $100,000 for any information leading to the arrest and conviction of the person or persons responsible.

Wells Fargo’s Merger With Wachovia to Proceed as Whole Company Transaction With All of Wachovia’s Banking Operations
(BUSINESS WIRE)--Wells Fargo & Company (NYSE:WFC) said today (October 9, 2008) that it and Citigroup, Inc. (NYSE:C) have terminated discussions concerning a possible sale of certain banking assets of Wachovia Corporation (NYSE:WB) and reaffirmed that it is proceeding with its merger with Wachovia Corporation as a whole company transaction with all of Wachovia’s banking and other operations, requiring no financial assistance from the Federal Deposit Insurance Corporation (FDIC) or any other government agency.
Wells Fargo has submitted its application to the Federal Reserve Board seeking expedited approval of the merger and the share exchange agreement previously entered into between Wachovia and Wells Fargo. Under the share exchange agreement, Wachovia is issuing Wells Fargo preferred stock that votes as a single class with Wachovia’s common stock representing 39.9 percent of Wachovia’s voting power. The acquisition of the non-banking related operations of Wachovia and the share exchange agreement have received early termination from the Federal Trade Commission (FTC), under the Hart-Scott-Rodino Act.
As previously announced, under the definitive agreement between the two companies, Wells Fargo will acquire all outstanding shares of common stock of Wachovia in a stock-for-stock transaction. In the transaction, Wells Fargo will acquire all of Wachovia Corporation and all its businesses and obligations, including its preferred equity and indebtedness, and all its banking deposits.

Kovacevich reiterated that the two companies have a firm, binding merger agreement, are confident the merger will be completed, that it will keep Wachovia intact and create significant value for Wachovia and Wells Fargo shareholders. Wells Fargo will record Wachovia’s credit-impaired assets at fair value. “Credit teams at Wells Fargo have had an opportunity to work with their counterparts at Wachovia,” said Kovacevich. “Much of Wachovia’s portfolio involves businesses where Wells Fargo has a significant market presence, operating history and expertise. Wells Fargo, Wachovia Agree to Merge
BUSINESS WIRE)--Wells Fargo & Company (NYSE:WFC) and Wachovia Corporation (NYSE:WB) said today (October 3, 2008) they have signed a definitive agreement for the merger of the two companies including all of Wachovia’s banking operations in a whole company transaction requiring no financial assistance from the Federal Deposit Insurance Corporation (FDIC) or any other government agency.
Under the agreement, Wells Fargo will acquire all outstanding shares of common stock of Wachovia in a stock-for-stock transaction. In the transaction, Wells Fargo will acquire all of Wachovia Corporation and all its businesses and obligations, including its preferred equity and indebtedness, and all its banking deposits.
Under terms of the agreement, which has been approved unanimously by the boards of both companies, Wachovia shareholders will receive 0.1991 shares of Wells Fargo common stock in exchange for each share of Wachovia common stock. The transaction, based on Wells Fargo’s closing stock price of $35.16 on October 2, 2008, is valued at $7.00 per Wachovia common share for a total transaction value of approximately $15.1 billion. Wachovia has almost 2.2 billion common shares outstanding. The agreement requires the approval of Wachovia shareholders and customary approvals of regulators.
Wells Fargo will record Wachovia’s credit-impaired assets at fair value. The acquisition is expected to exceed Wells Fargo’s internal rate of return goal and add to Wells Fargo’s earnings per share in the first year of operations, excluding integration costs, write-downs, transaction charges, and credit reserve build. Wells Fargo expects to incur merger and integration charges of approximately $10 billion. To maintain its strong capital position, Wells Fargo intends to issue up to $20 billion of new Wells Fargo securities, primarily common stock.

Citi and Wachovia Reach Agreement-In-Principle for Citi to Acquire Wachovia’s Banking Operations in an FDIC-Assisted Transaction
BUSINESS WIRE)--Citi (NYSE: C) today (September 29, 2008) announced it has reached an agreement–in-principle to acquire all of the banking subsidiaries of Wachovia Corporation (NYSE: WB), creating the largest U.S. bank by total deposits.
Wachovia will remain a public company and retain its asset management, retail brokerage, and certain select parts of its wealth management businesses, including the Evergreen and Wachovia Securities franchises. Going forward, Wachovia expects to have adequate capital to support its remaining businesses, an appropriate allocation of tangible equity, and certain tax assets that will be recognized immediately.
Under the terms of the agreement-in-principle, Citi will pay Wachovia approximately $2.16 billion in stock and assume Wachovia senior and subordinated debt, totaling approximately $53 billion.
Citi will acquire more than $700 billion of assets of Wachovia’s banking subsidiaries, and related liabilities. The Federal Deposit Insurance Corporation (FDIC) has agreed to provide loss protection in connection with approximately $312 billion of mortgage-related and other Wachovia assets. Citi is responsible for the first $30 billion of losses on this portfolio, and expects to record these expected losses under purchase accounting upon closing of the transaction. Citi is also responsible for the next $12 billion in losses up to a maximum of $4 billion per year for the next three years. Citi has also agreed to issue to the FDIC preferred stock and warrants with a combined value of approximately $12 billion. The FDIC has agreed to be responsible for any further losses on this portfolio.
The transaction, which has been approved by the Boards of Directors of both companies, is subject to: approval by Wachovia’s shareholders; to the occurrence of the closing by December 31, 2008; definitive documentation; regulatory approvals; and other customary closing conditions.
The deal is expected to be accretive to Citi’s earnings from year one excluding a total of $3.7 billion in pre-tax restructuring charges for severance over the next four years, and expected to be fully accretive in 2010.
Citi expects to raise $10 billion in common equity in connection with this transaction and reduce its quarterly dividend to 16 cents per share, effective immediately, to maintain the company’s strong capital position. On a pro forma basis for the second quarter ended June 30, 2008, Citi’s Tier 1 capital ratio is expected to be 8.8% assuming completion of the transaction.

Wachovia has a strong, attractive customer base, talented employees, and its retail bank footprint is highly complementary with that of Citi, with just 31% of Wachovia branches located in existing Citi markets. The transaction propels Citi to a top three ranking in seven metropolitan statistical areas (MSAs): New York, Miami, Atlanta, Washington D.C., Las Vegas, Charlotte, and San Francisco.
At the completion of the transaction, Citi will have: about 4,300 branches in the U.S. and approximately another 3,300 throughout the world; and 28,000 fee-free ATMs in the U.S. As there is little overlap between the two footprints, Citi expects to close less than 5% of the combined branches. In addition, Citi will benefit from Wachovia’s leading technology platform, including the opportunity to expand its award-winning online banking platform, and proven integration capabilities.
The transaction also brings a strong, highly complementary U.S. cash management platform to Citi’s leading international Global Transaction Services business; a strong U.S. mid-market corporate banking franchise; and, a small, successful private banking business that Citi intends to integrate into its existing Global Wealth Management business.
In addition, Citi expects to realize more than $3 billion of annualized expense synergies through the consolidation of overlapping functions. Following the closing of the transaction, Citi expects to complete the integration of the retail banking operations by year-end 2010.

Federal Home Loan Bank of Atlanta Approves Agreement with the U.S. Treasury as Backup Liquidity Source
PRNewswire/ -- The Federal Home Loan Bank of Atlanta ("Bank") announced today it has approved a lending agreement with the U.S. Department of the Treasury ("Treasury") that is designed to serve as a source of contingent liquidity for the Bank's debt issuance activities.
The agreement stems from provisions of the Housing and Economic Recovery Act of 2008, which provided the Treasury with the authority to establish such a facility. The terms of the agreement are described in the Bank's Current Report on Form 8-K filed today. The agreement expires on Dec. 31, 2009, or sooner if the Bank determines it will not need the Treasury support. Any loan under the agreement would be secured by certain Bank assets, such as advances to members or by mortgage-backed securities issued by Fannie Mae or Freddie Mac.
"The Bank appreciates the U.S. Treasury's interest in establishing a clearly-defined operational agreement should the Federal Home Loan Banks require added liquidity support for our debt," said Richard A. Dorfman, FHLBank Atlanta President and Chief Executive Officer. "It is essential that the Bank continue to execute its mission of providing affordable liquidity to lenders, and this agreement makes it clear the federal government supports that role."
Each of the 12 Federal Home Loan Banks has entered into such an agreement. Extensions of credit by the Treasury to the FHLBanks, or to any FHLBank, will be considered a consolidated obligation and will be the joint and several obligation of all of the FHLBanks. However, Dorfman noted that at this time, the Bank does not anticipate that it will need to tap the lending facility.

FBI Seeks Information in Attempted Bank Robbery
On Tuesday, June 24, 2008 , at approximately 8:21 a.m. , two black males, one armed with a revolver handgun, the other armed with an SKS type assault rifle, entered the Atlanta Federal Credit Union, located at 3075 Sylvan Road , Atlanta , GA ( East Point ) and attempted an armed robbery.
The bank employees retreated further into the bank and the robbers departed without having obtained any money.
The robbers, described as black males in their early to late 20’s and with slender builds, were both wearing “do rag” style masks and were observed departing the bank in a 2001 Chevrolet Blazer. This vehicle was later recovered by law enforcement about a mile and a half away from the bank ( East Washington Ave./Blunt Street area). This vehicle was reported stolen from the Lithonia, Georgia area and is currently being processed by crime scene investigators.

WGNB Corp. Announces Filing of Registration Statement for Rights Offering
BUSINESS WIRE--WGNB Corp. (NASDAQ:WGNB), the holding company for First National Bank of Georgia, announced today the filing of a registration statement with the Securities and Exchange Commission for a rights offering to the holders of its common stock.
Through the registration statement, WGNB is offering up to $25,000,000 of the Company’s 9% Series A Preferred Stock (“9% Series A Preferred”). Under the terms of the rights offering, common shareholders will receive one non-transferable subscription right to purchase the Company’s 9% Series A Preferred for each share of common stock owned as of the record date. WGNB common shareholders may then purchase one share of the 9% Series A Preferred for $10.00 per each 2.423 subscription rights granted in this offering. A shareholder who fully exercises his or her rights may oversubscribe for additional shares of the 9% Series A Preferred at the same purchase price.
The Board of Directors has elected June 30, 2008 as the record date for the rights offering.
WGNB anticipates that the rights offering will begin in July 2008, subject to the effectiveness of the registration statement filed with the SEC, and will continue for up to thirty days thereafter. Synovus Plans to Combine National Bank of Walton County with AFB&T
BUSINESS WIRE--Synovus (NYSE: SNV), the Columbus, Georgia-based financial services company, today announced plans to combine the assets of two Synovus banks: National Bank of Walton County (NBWC), based in Monroe, Georgia with Athens First Bank and Trust (AFB&T), headquartered in Athens, Georgia. Synovus expects to complete the transfer of assets later this year, pending regulatory approval. The combined assets will be managed under the name of AFB&T.
“Since these two banks operate in the same geographic area, sometimes overlapping in their service to customers, it is a natural fit to combine their resources under one name,” said Fred L. Green III, President and COO of Synovus. “Bringing together the teams at each bank will leverage Synovus’ presence in this market and offer customers increased access to bank offices and continued use of the diversified products and services they enjoy today.”
